Vulcan Materials Announces Closing of $1.1 Billion Senior Notes Offering

BIRMINGHAM, Ala., June 14, 2011 /PRNewswire via COMTEX/ --

Vulcan Materials Company (NYSE: VMC) today announced the closing of its offering of $500 million aggregate principal amount of 6.5% senior unsecured notes due 2016 and $600 million aggregate principal amount of 7.5% senior unsecured notes due 2021.

After deducting underwriting discounts and offering expenses, Vulcan Materials intends to use the net proceeds from this offering of approximately $1.082 billion to terminate its existing term loan due 2015, fund a partial tender offer for its existing senior unsecured notes due 2012 and 2013, reduce borrowings under its revolving credit facility, and for general corporate purposes.

BofA Merrill Lynch, Goldman, Sachs & Co. and SunTrust Robinson Humphrey acted as joint book-running managers for the offering.
